Ownership and data terms should reflect what each party contributes and how the service actually operates. Ownership must be clear.
Development agreements can distinguish your existing tools and code from new work made for a client. They can also state when a customer receives a licence rather than ownership.
Identify background materials, define newly created work, and set out any licence rights needed to use or maintain the deliverable. Include third-party components where relevant.
Terms should describe the data each party handles, permitted use and the practical responsibilities attached to the service. Paper terms need to match the product flow.
Map the parties' roles, set out permitted processing instructions, and address access, security responsibilities, incident reporting and return or deletion at the end of the service.
Terms your team can deliver
Promises in the contract should match your team, systems and delivery process. Set workable promises.
Define the service hours, support channels and response commitments your operation can meet. Keep planned maintenance and service exclusions clear.
Example clause: Support hours and response targetsFor project delivery, agree how a customer tests the work, the time allowed to report issues and what happens when a deliverable needs correction.
Example clause: Acceptance testing periodUse a change process for new requirements. Plan for termination, customer data handling and a practical handover where the service ends.
